1. Who Provides WriteOff

WriteOff is a product and service of Zero To Build LLC ("Zero To Build," "we," "us," or "our"). You agree that your relationship is with Zero To Build LLC, not with any individual founder, member, manager, employee, contractor, or representative personally. To the fullest extent permitted by law, any claim related to WriteOff must be brought only against Zero To Build LLC and not against any individual associated with the company.

2. No Tax, Legal, Accounting, or Financial Advice

WriteOff may categorize expenses, cite tax-code references, estimate deductible percentages, ask follow-up questions, generate reports, or explain potential tax treatment. These outputs are not professional advice and are not a substitute for a CPA, enrolled agent, tax attorney, accountant, bookkeeper, or other qualified professional who understands your specific facts.

Tax rules can change, may vary by jurisdiction, and often depend on details that WriteOff does not know. AI systems can misunderstand facts, miss context, hallucinate authority, cite incomplete rules, or produce incorrect recommendations. You must independently verify every deduction, category, percentage, citation, report, and explanation before using it.

3. Your Responsibilities

• You are solely responsible for the accuracy, completeness, and legality of the expenses, descriptions, receipts, business purposes, and other information you enter.
• You are solely responsible for deciding whether an expense is deductible and for keeping records required by the IRS, state tax agencies, or other authorities.
• You must consult a qualified tax professional before claiming deductions, filing tax forms, responding to audits, or relying on any WriteOff output.
• You are responsible for your own tax returns, filings, payments, penalties, interest, audits, and communications with tax authorities.

4. AI and Third-Party Providers

WriteOff may allow you to connect your own AI provider account or API key, including providers such as OpenAI or Anthropic. When you use those features, your inputs and outputs may be processed by the provider you choose and are subject to that provider's terms, privacy policies, data practices, rate limits, pricing, and availability. We do not control those providers and are not responsible for their acts, omissions, outputs, outages, security practices, or charges.

5. No Guarantee of Accuracy or Tax Outcome

We do not guarantee that WriteOff will identify every deductible expense, correctly analyze any deduction, cite the right authority, generate a complete report, prevent mistakes, reduce taxes, satisfy substantiation requirements, or produce results accepted by any tax authority. You use WriteOff at your own risk.

6. Acceptable Use

You may not misuse WriteOff, interfere with the service, attempt unauthorized access, reverse engineer non-public parts of the app, use the app to violate law, submit unlawful or harmful content, or use WriteOff to provide tax, legal, accounting, or financial advice to others unless you are properly qualified and solely responsible for that advice.

7. Disclaimers

WriteOff is provided "as is" and "as available." To the fullest extent permitted by law, Zero To Build LLC disclaims all warranties, express or implied, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

8. Limitation of Liability

To the fullest extent permitted by law, Zero To Build LLC and its members, managers, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost savings, lost data, tax liabilities, denied deductions, penalties, interest, audit costs, professional fees, business interruption, or reliance on inaccurate AI output.

To the fullest extent permitted by law, our total liability for any claim related to WriteOff will not exceed the greater of the amount you paid Zero To Build LLC for WriteOff in the three months before the event giving rise to the claim or $100.

9. Indemnification

You agree to defend, indemnify, and hold harmless Zero To Build LLC and its members, managers, employees, contractors, representatives, and affiliates from claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable attorneys' fees, arising from your use of WriteOff, your data, your tax filings, your violation of these Terms, your violation of law, or your reliance on WriteOff outputs.

10. Changes and Termination

We may change, suspend, or discontinue WriteOff or these Terms at any time. If we make material changes, we will take reasonable steps to notify users, such as updating this page or providing notice in the app. Your continued use of WriteOff after changes become effective means you accept the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules, unless applicable law requires otherwise.
